This Terms and Conditions (⟨Terms & Conditions⟩) is an agreement between Ambamedinex (“we”, “us” or “our“), and any visitor to our website, inquiry maker as well as anyone who purchases with us(collectively referred hereinafter individually the “Buyer”). You should read before reading those — they were written to be straightforward and equitable, not off-the-shelf.
By going on to reserve or sign a purchase agreement with us, you are declaring that you have read and agreed to these terms. We invite you to question if anything here seems not clear for risk of getting burned.
Medical Devices and Equipment is regulated under the Medical Devices Rules, 2017 (India) & Drugs And Cosmetics Act, 1940. Some products have unique natural or powerful vitamins that might require distinct licences and institutional approvals to purchase, own, and operate such tools, all of which depend on the product class as well as your geographic location. You are entirely responsible for your actions and it is your responsibility to check that you can legally order/use the equipment we send to you.
The applicability of these terms extends to hospitals, clinics, diagnostic centres; individual healthcare professionals and procurement officers as well as any other person or institution that interacts with Ambamedinex in any mode — when accessing our website over email through calls/ phone conversation face-to-face exchange.
Ambamedinex delivers medical equipment, diagnostics apparatuses, surgical tools and other accessories related to these things. Certain of our products are sourced locally; others, imported upon order. Quotations mention specifications, pricing and availability as verified at the time. Although we try to provide accurate information on our online shop, product listings should not be treated as a binding offer — formal quotes are.
A query or request for a Quote does not have the force of an Order. We only confirm an order upon issuance of a written purchase order acknowledgment or proforma invoice and receipt of the agreed upfront amount. We maintain the right to amend pricing, availability or delivery schedules until both conditions are satisfied.
In the case of regulated product categories, we may request that you provide valid documentation – such as drug licence or registration certificate (for pharmacies / laboratories) and/or institutional letter (in an institution setting), before accepting your order. This is a regulatory obligation, not an invented formality.
A large part of our portfolio comes from manufacturers overseas or involves tailored configurations. If we have placed a procurement order with one of our manufacturers or suppliers on your instruction, then you are not entitled to cancel the order and any advance payment given is non-refundable. We will in all cases clarify this before carrying out such orders and we wish you to be sure about it prior to accepting.
NOTE: All prices are in India Rupees excluding GST, Import duties & freight charges and Installation unless specifically mentioned otherwise in this quotation Payment Terms (Usually in every invoice or other agreement) We accept payment via bank transfer (NEFT/RTGS) or cheque. The Parties must agree in writing and in advance to any other method of payment.
In the case of payment delayed beyond the due date agreed, we are entitled to withhold performance and where applicable charge interest under MSME Development Act 2006.
We estimate delivery timelines at the time of ordering, based on stock availability and import schedules and logistics. All this is just an estimate — NOT a guarantee. In the event a delivery commitment has been expressly set out in writing by us, any delays caused by shipping companies and/or customs clearance or otherwise are outside of our control. The buyer shall not be entitled to cancel an order for failure delivery at all unless we have failed as per that pre-agreed written mis-seller offer.commitment
If installation is part of the deal, it’s up to the buyer to prepare their site—sufficient space along with power and access—by the scheduled time of arrival. It is important to understand that delays in site unreadiness will be treated as a change of scope and additional charges may apply.
Every product we provide is accompanied by a warranty as defined in the documentation accompanying that product or contained evaluation purchase agreement. Warranty against manufacturing defects under normal working conditions unless confirmed in writing. You shall not cover’external factors’ e.g. misuse, improper storage / power failure – such as high current fluctuations and customisation by other non-technical personnel & wear on consumables!
AMCs (Annual Maintenance Contracts)AMC are offered separately and AMCs can be available for most equipment with separate charges as compared to the regular warranty. Not every purchase is accompanied by an AMC.
Ambamedinex or the respective manufacturers we represent owns all content — product names, images, descriptions, technical specifications and branding on our website. Do not reproduce, copy or use this content for any commercial purposes without written consent from us. All manufacturer brand names and trademarks are the property of their respective manufacturers.
Ambamedinex is responsible for providing the facility/products to conform with the agreed specification and fulfilling warranty terms. We cannot accept liability for clinical outcomes, as well as economic damage or loss of production from the operation being disrupted by a Market disruption event and any indirect consequence that arises out while using our products. Your sole remedy and our aggregate liability in any dispute will be limited to the invoice value of that specific product or service.
This limitation of liability does not affect any rights that you may have as a consumer under Indian law.
If any such event occurs whereby we are unable to perform our obligations due to events that are genuinely beyond your control (natural disasters, port closures, government restrictions or closure of manufacturers) then We will not be in breach of Our obligations under these Terms. In these eventualities, we will notify you as quickly as feasible and collaborate with yourselves to figure out a valid solution.
These terms shall be governed in accordance with the laws of India. Any dispute that cannot be settled by mutual discussion will be referred to the courts of [Your City], India. If both parties agree, disputes can also be referred to arbitration as per the provisions of Arbitration and Conciliation Act, 1996.
From time to time we will update these Terms and Conditions. The date at the top of this page will indicate when it was last updated. The terms in effect at the time of that order or agreement will apply to any such active orders.
